Version 2026-10-03 · Effective 3 October 2026
These Terms of Service (the "Terms") are entered into between you and 4142 Ltd, a company registered in England and Wales (company number 16433875) with its registered office at 20 Wenlock Road, London, England, N1 7GU, trading as "Squidgy" ("Squidgy", "we", "us"). They govern your use of the Squidgy platform, including squidgy.ai, app.squidgy.ai, our agents, APIs and related services (the "Services").
The Services are for business use only. You may use them only wholly or mainly for the purposes of your trade, business, craft or profession, including as a sole trader, freelancer or creator, and not as a consumer. We may refuse or close an account that does not meet this condition. If you accept these Terms for an organisation, you confirm you are authorised to bind it, and "you" means that organisation.
You accept these Terms, and confirm that you meet the business-use condition, by ticking the acceptance box when you create your account, or by signing an order form or agreement that refers to them. We keep a record of when you accepted.
These Terms include our Data Processing Agreement (the "DPA"). Our Privacy Notice explains how we handle personal data as a controller. If these Terms and the DPA conflict on data protection, the DPA prevails. Any separate written agreement signed by both parties (for example an enterprise, partnership or Ventures agreement) prevails over these Terms to the extent it says so.
You must be at least 18 and give us accurate account information. You are responsible for keeping your login credentials secure, for everything done through your account, and for your users' compliance with these Terms. Tell us promptly at support@squidgy.ai if you suspect unauthorised use.
We will provide the Services with reasonable skill and care. We continually develop the Services and may change, add or remove features. We will not make a change that materially reduces the core functionality of a paid Plan during your current billing period, and we will give you reasonable notice before removing a material feature you are paying for.
Features we label as beta, preview or experimental are provided for evaluation, may change or be withdrawn at any time, and are not covered by any commitment in these Terms other than section 14 (Data protection) and section 15 (Confidentiality).
Fees are as shown for your Plan when you buy it. Unless stated otherwise, fees are in pounds sterling and exclude VAT and other applicable taxes, which you will pay. Payments are processed by Stripe. Subscriptions renew automatically at the end of each billing period until cancelled, and you authorise us to charge your payment method for each renewal and for any usage or credits you buy.
Free trials. If your Plan starts with a free trial, the first charge is taken when the trial ends unless you cancel before then. The trial length, first charge date and renewal price are shown before you start.
Plan changes. Upgrades take effect immediately and are charged pro rata for the rest of the period. Downgrades take effect from the next renewal.
Price changes. We will give you at least 14 days' notice of any increase to your recurring fees. The new price applies from your next renewal after the notice period, and you may cancel before then.
Late payment. If a payment fails, we will tell you and retry. If it remains unpaid 14 days after that notice, we may suspend paid features until it is paid.
Billing disputes. If you believe a charge is wrong, tell us at support@squidgy.ai within 60 days of the charge, with reasons. We will investigate in good faith. You may withhold only the amount genuinely in dispute while we resolve it.
You can cancel at any time in your account settings or by emailing support@squidgy.ai. Cancellation takes effect at the end of your current billing period, and you keep access until then. Fees already paid for the current period, and credits already used, are not refunded, except where these Terms say otherwise or the law requires it. If we end your subscription for our own convenience, or you cancel because of a material change under section 20 or an assignment that materially disadvantages you under section 21, we will refund any prepaid fees for the unused part of the period.
You own your Customer Content, and as between you and us you own your Output. You give us a non-exclusive licence to host, copy, process, transmit and display Customer Content and Output only as needed to provide, secure and support the Services for you, to follow your instructions, and to comply with law.
We do not use Customer Content or Output to train AI models. We may use technical and usage data about how the Services run (such as performance, error and feature-usage metrics) to operate and improve the Services; this does not include the content of your conversations or files, and anything we publish from it will be aggregated so that it does not identify you or any individual.
You are responsible for your Customer Content, and you confirm you have all rights, permissions, notices and lawful bases needed to submit it and to have it processed as described in these Terms and the DPA.
Agents work by sending Customer Content to AI model providers, which generate Output. The providers we use are listed on our sub-processor page. AI Output can be inaccurate, incomplete, out of date or similar to output generated for others. You must review Output before relying on it, and you are responsible for decisions you make and actions your Agents take based on it. Output is not legal, financial, medical, tax or other professional advice.
You are responsible for how you configure and deploy Agents, including messages they send, bookings or changes they make in Third-Party Services, and people they interact with on your behalf. You must keep appropriate human oversight, and you must tell people when they are interacting with an AI where the law requires it.
You must not use the Services to make decisions based solely on automated processing that produce legal or similarly significant effects on individuals (for example about employment, credit, insurance, housing, education or access to essential services), or for any use classed as high-risk or prohibited under the EU AI Act or similar laws, unless we have agreed in writing and appropriate safeguards are in place.
You must not, and must not allow anyone else to, use the Services to:
When you connect a Third-Party Service, you authorise us to access and act in it on your behalf as your Agents are configured to do. Your use of it is governed by its own terms, and its provider, not us, is responsible for it. We are not responsible for changes to, outages of, or data handling by Third-Party Services, and features that depend on them may stop working if they change.
If you build, run or resell Agents for Clients, you are responsible for your relationship with each Client. That includes your own terms and privacy notice with them, their compliance with section 9, and support for them. You must not make commitments about the Services on our behalf. Where you process personal data for a Client, the DPA explains how our processing fits in.
Listing Agents on the Marketplace, pricing, revenue share and payouts are governed by the builder or Marketplace terms you accept when you enrol, in the version shown to you at that time. They form part of these Terms. On Marketplace matters they prevail over these Terms if the two conflict; the DPA always prevails on data protection. We may remove a listing that breaches these Terms or the law.
We and our licensors own the Services, including the software, models we build, templates, designs and documentation. We grant you a non-exclusive, non-transferable right to use the Services during your subscription in line with these Terms. If you give us feedback, we may use it without obligation to you.
If you believe content on the Services infringes your rights, email legal@squidgy.ai with details. We will review it and act where appropriate.
We may suspend all or part of your access if you breach section 9, if your use creates a security risk or risk of harm to the Services or others, if fees remain unpaid as described in section 5, or if the law requires it. We will limit any suspension to what is reasonably necessary, give notice where practicable, and restore access once the issue is resolved.
Each of us will comply with data protection law. Where we process personal data as your processor, the DPA applies. Where we process personal data as a controller (for example account, billing and website data), our Privacy Notice applies.
Each of us will keep the other's non-public information confidential, use it only to perform these Terms, and share it only with people who need it and are bound to keep it confidential. This does not apply to information that is public through no fault of the recipient, already known to it, independently developed, or that must be disclosed by law (in which case the discloser will be told where lawful).
These Terms apply while you have an account. Either of us may end them by written notice if the other commits a material breach that is not remedied within 30 days of notice, or immediately if the other becomes insolvent. We may end a free account at any time, and a paid subscription for our convenience on 14 days' notice with a refund under section 6.
When your account ends, you have 30 days to export your Customer Content using the Services or by asking us. After that we delete it as described in the DPA. Sections that by their nature should survive, including sections 5 (for amounts due), 7, 12, 15, 17, 18 and 22, survive.
You will indemnify us against losses and reasonable costs arising from a third-party claim to the extent it results from your Customer Content, your breach of section 8, 9 or 11, or your Clients' use of Agents you provide them. We will indemnify you against losses and reasonable costs arising from a third-party claim that the Services (excluding Customer Content, Output, Third-Party Services and anything you combine with them) infringe that party's UK intellectual property rights.
The party seeking an indemnity must notify the other promptly, let it control the defence and settlement (provided no settlement imposes liability or admissions on the indemnified party without consent), and give reasonable help at the indemnifying party's cost.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.
Subject to that, neither of us is liable for loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss. Except where it results from our breach of section 14 or the DPA, our liability for loss or corruption of data is limited to using reasonable efforts to restore it from our most recent backup.
Subject to the first paragraph, each party's total liability arising out of or in connection with these Terms in any 12-month period is limited to the greater of £100 and the fees paid and payable by you for the Services in the 12 months before the event giving rise to the claim (the "General Cap"). For claims arising from a breach of section 14 (Data protection) or the DPA, a breach of section 15 (Confidentiality), or under the indemnities in section 17, each party's total liability is instead limited to the greater of £25,000 and three times those fees (the "Enhanced Cap"). Amounts paid under the Enhanced Cap do not count towards the General Cap. Neither cap applies to your obligation to pay fees.
Other than the express obligations in these Terms (including section 4), all warranties, conditions and other terms implied by statute or common law are excluded to the extent permitted by law. We do not promise that the Services will be uninterrupted or error-free.
We maintain the security measures described in the DPA. You are responsible for the security of your own systems, credentials and the Third-Party Services you connect.
We may update these Terms. We will tell you about a material change by email or in the product at least 7 days before it takes effect. If you do not accept it, you may cancel before then and we will refund prepaid fees for the unused part of your period. Changes needed for legal, regulatory or security reasons, or that do not disadvantage you, can take effect immediately.
You may not assign or transfer these Terms without our prior written consent. We may assign, transfer or novate these Terms, and our rights and obligations under them, to an affiliate or a successor, including a separate company we establish to operate a particular brand or white-label of the Services, or as part of a merger, acquisition, reorganisation or transfer of the relevant business or brand. The successor must be bound by obligations no less protective of you than these Terms and the DPA. We will give you at least 14 days' notice of any assignment that changes who provides the Services to you, and if it materially disadvantages you, you may cancel before it takes effect and receive a refund under section 6. You agree in advance to any such novation.
